Corporate governance enforcement

Regional State Administrative Agencies are the competent enforcement authority in respect of the rights of minority shareholders. Our mandate in this area is strictly regulated by law. 

We can order that a special audit be performed on any limited company, including housing companies, housing association or cooperative.

Regional State Administrative Agencies can authorise individuals to call a meeting of the general membership of an organisation.

We have the authority to appoint an auditor for an organisation if it is brought to our attention that no auditor has been appointed for an organisation that, by law or by virtue of the organisation’s articles of association or other rules, must have one. 

We can appoint an auditor for an organisation that does not legally need to have one if the shareholders or members of the organisation in question make an application, as prescribed by law, to have an auditor appointed.
